### Annexure - 1
Empanelment Framework for TPAT Institute
1. Authorized Service Provision
The Empaneled Center is authorized to deliver TPAT Institute (TPAT) services solely at the registered location specified in the application. Services at any alternate location require prior written approval from TPAT.
2. Marketing and Promotion Responsibilities
The Empaneled Center is responsible for actively marketing TPAT and its Certification Programs through innovative campaigns, local outreach, and digital platforms, ensuring adherence to TPAT branding guidelines.
3. Candidate Enrollment Protocol
All candidates must be registered through the official TPAT portal for the Certification Programs, following TPAT’s enrollment procedures.
4. Regulatory Compliance
The Empaneled Center shall ensure full compliance with local laws, regulations, and educational standards, promptly informing TPAT of any compliance-related matters.
5. Ethical Marketing Practices
The Empaneled Center must engage in fair marketing practices, avoiding deceptive or misleading claims that could harm TPAT’s reputation or stakeholder trust.
6. Integrity of Information
Misrepresentation regarding TPAT or its offerings is strictly prohibited. The Empaneled Center shall ensure all promotional materials accurately reflect the quality and scope of TPAT programs.
7. Limitations on Guarantees
The Empaneled Center shall not make any commitments regarding job placements or guaranteed outcomes associated with the Certification Programs.
8. Audit and Compliance Support
The Empaneled Center shall facilitate TPAT’s audits and compliance checks by providing access to necessary records, facilities, and personnel, ensuring adherence to this agreement and TPAT policies.
9. Timely Reporting
The Empaneled Center must promptly report any significant developments or challenges that may impact the interests of TPAT or the integrity of the Certification Programs.
10. Infrastructure Standards
The Empaneled Center is required to maintain the necessary infrastructure, staffing, and resources as specified in Annexure 2, ensuring operational efficiency and educational quality.
11. Performance Accountability
The Empaneled Center shall actively monitor and meet performance metrics set by TPAT. Failure to meet these metrics may result in review and potential termination of the empanelment.
12. Flexibility of Offerings
TPAT reserves the right to update or modify the list of offered programs, certifications, and training materials without prior notice. The Empaneled Center shall adapt accordingly.
13. All theory notes, questions, examples, sample or dummy GSTINs, different organization names and demo bank details are the exclusive property of TPAT Institute. All rights are reserved. These materials cannot be used for teaching courses offered by empaneled centers or for any other purpose without prior written consent from TPAT Institute.
Tenure: The empanelment is valid for one year from the date of the invoice for the empanelment fee. Renewal is contingent upon meeting operational standards and payment of the current fee.

### Annexure - 2
Essential Infrastructure Requirements for TPAT Institute Empaneled Centers
1. Space Requirements
Minimum space of 600 sq. ft., designed to accommodate training, administration, and student interactions.
2. Software Licensing
Installation of TPAT’s educational software, with valid licenses dedicated to training purposes, is mandatory.
3. Computational Facilities
At least 20 computers (17 for training and 3 for administrative tasks) equipped with necessary software and resources.
4. Dedicated Server
A secure server for managing student data, course materials, and operational processes.
5. Reliable Internet Connectivity
High-speed internet access to facilitate online training and resources.
6. Backup Power Systems
Uninterruptible power supply (UPS) systems to ensure continuity during outages.
7. Assessment Technology
Webcams and other necessary equipment for online assessments and evaluations.
Recommended Staffing Structure:
1. Center Manager - 1 (overseeing operations and compliance)
2. Placement Executive - 1 (supporting student placements)
3. Lead Faculty - 2 (subject matter experts)
4. Technical Support Staff - 1 (handling IT needs)
5. Student Counselor - 1 (guiding student queries and needs)
6. Business Development Executive - 1 (driving growth and outreach)
7. Administrative Support - 1 (general operations assistance)

### Annexure - 3
Comprehensive Terms and Conditions
TPAT Institute Commitments:
1. TPAT will provide the Empaneled Center with up-to-date certification for courses as outlined in the commercial agreements.
2. Operational support will be available to the Empaneled Center based on compliance with established guidelines and performance standards.
3. A non-exclusive license for TPAT's educational software will be granted, contingent on maintaining valid subscriptions.
4. Upon meeting necessary conditions, TPAT will issue an authorization certificate to the Empaneled Center.
5. In the Event of Technical Bugs
We strive to provide a seamless experience on our educational platform. However, if you encounter any technical issues, please note the following:
A. Reporting Bugs:
Users are encouraged to report any bugs or technical issues through our designated support channels.
Please provide detailed information about the issue, including steps to reproduce it, the device and browser used, and any error messages received.
B. Resolution Time:
We aim to address reported issues in a reasonable timeframe. However, the complexity of the bug may affect resolution times. We appreciate your patience as we work to resolve any issues.
C. No Refund Policy:
Due to the nature of our services, we do not offer refunds for issues arising from technical bugs. However, we are committed to resolving reported problems and improving your experience.
C. Continuous Improvement:
We regularly update our platform to enhance performance and user experience. Your feedback is invaluable in this process.
Inspection and Compliance Rights:
TPAT reserves the right to conduct inspections of the Empaneled Center’s premises and records, with or without prior notice, to ensure compliance with this agreement and to review financial and operational practices.
Branding and Intellectual Property:
The Empaneled Center acknowledges that it has no rights to use TPAT’s logos, trademarks, or any proprietary materials outside the scope of this agreement. All branding must cease upon termination of the agreement.
Renewal Procedure:
Renewal for an additional year is contingent upon fulfilling all terms and payment of the required fees. A written request for renewal must be submitted at least three months prior to the expiration date.
Termination Rights:
Either party may terminate this agreement with three months’ written notice. Immediate termination may occur for violations of the terms by the Empaneled Center.
Dispute Resolution Mechanism:
This agreement shall be governed by Indian law, with disputes settled through arbitration in Bangalore, per the Arbitration and Conciliation Act, 1996.
Confidentiality Agreement:
The Empaneled Center shall maintain confidentiality regarding proprietary information received from TPAT, ensuring no disclosure without prior consent.
Force Majeure Clause:
Neither party shall be held liable for delays or failures in performance due to events beyond their control, including natural disasters, strikes, or regulatory actions.
Limitations of Liability:
TPAT shall not be liable for any indirect, incidental, or consequential damages arising from this agreement, including loss of profits or reputation.
Failure to comply with these terms and conditions may result in the immediate termination of the contract with the empaneled center. TPAT Institute reserves the right to modify these terms and conditions at any time, with or without prior notice to the empaneled centers.

### Annexure - 4
Terms and Conditions for the Use of the Logo of TPAT Institute by Empanelled Centers
By using the Logo, you agree to comply with the following Terms and Conditions:
1. License Grant :
TPAT Institute grants Empanelled Centers a limited, non-exclusive, non-transferable,
and revocable license to use the Logo for purposes directly related to the activities and services associated with the Empanelled Center's agreement with TPAT Institute.
The Logo can be used for marketing, promotional materials, signage, and other business-related purposes as approved by TPAT Institute.
2. Logo Usage Guidelines:
The Empanelled Center agrees to adhere to the following guidelines when using the Logo of TPAT Institute:
- The Logo must not be altered, modified, or distorted in any manner.
- The Logo should be used in its original form and color as provided by TPAT Institute.
- The Logo must not be placed in a manner that may cause confusion or misrepresentation of TPAT Institute’s affiliation or endorsement.
- The Logo may only be used on materials that directly relate to the Empanelled Center's operations and services related to TPAT Institute.
- The Logo cannot be used with other logos or brands unless explicitly permitted by TPAT Institute in writing.
3.Approval Process
All marketing or promotional materials that feature the Logo must be submitted to TPAT Institute for prior approval before public dissemination.
The materials must be sent to support@tpatinstitute.com for review. TPAT Institute reserves the right to reject any materials that do not comply with the brand guidelines or misrepresent the Logo.
4. Termination of Use
TPAT Institute reserves the right to revoke the license to use the Logo at any time, at its sole discretion, for any reason, including but not limited to:
- Non-compliance with the terms of this Agreement.
- Termination of the Empanelled Center’s relationship with TPAT Institute.
- Use of the Logo in a manner that damages the reputation of TPAT Institute.
- Upon termination of this Agreement or the Empanelled Center’s relationship with TPAT Institute, the Empanelled Center must immediately cease using the Logo on all materials and platforms.
5. Ownership
The Logo and all associated intellectual property rights remain the sole property of TPAT Institute.
The Empanelled Center acknowledges that it has no ownership interest in the Logo and shall not assert any claim to such rights.
6. Quality Control
TPAT Institute may review and inspect any materials or content that uses the Logo to ensure compliance with the brand guidelines.
7. Indemnification
The Empanelled Center agrees to indemnify and hold harmless TPAT Institute from any and all claims, liabilities, losses, damages, or expenses arising out of the unauthorized or improper use of the Logo, including any legal costs incurred.
8. Confidentiality
The Empanelled Center agrees to maintain confidentiality regarding any proprietary or sensitive information related to the TPAT Institute Logo or brand, as well as any other confidential materials shared during the course of the Empanelled Center's relationship with TPAT Institute.
9. Limitation of Liability
TPAT Institute will not be held liable for any indirect, incidental, or consequential damages arising from the use of the Logo by the Empanelled Center. The liability of TPAT Institute will be limited to the amount paid for the use of the Logo, if any.
10. Dispute Resolution
In the event of a dispute arising out of this Agreement, both parties agree to resolve the issue amicably through negotiations. If a resolution cannot be reached, the matter shall be resolved through mediation or arbitration, in accordance with the laws of Kerala/India.
11. Prohibition on Tutorial Videos
You agree not to create, record, upload, distribute, or otherwise use any Content from the Website to create tutorial videos, instructional materials, or any other derivative videos without prior written consent from TPAT INSTITUTE.
This includes, but is not limited to:
Using website content as part of a video for educational purposes.
Creating video guides, "how-to" content, or video tutorials based on any materials or Content from the Website.
Distributing or sharing such videos on platforms such as YouTube, Vimeo, or any other video-hosting service.
You are permitted to use the Content solely for personal, non-commercial purposes in accordance with the limited rights granted by these Terms. Any other use of the Content is prohibited without express permission from TPAT INSTITUTE.
12. Consequences of Violation
Any violation of these Terms, including the unauthorized creation of tutorial videos using Content from the Website, may result in:
Immediate termination of your access to the Website.
Legal action for breach of intellectual property rights.
Financial penalties as permitted by law.
13. Miscellaneous
Amendments: TPAT Institute reserves the right to amend or update these Terms and Conditions at any time.
No Waiver: The failure of TPAT Institute to enforce any provision of this Agreement does not waive the right to enforce that provision in the future.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Kerala/India.
